On October 28, 2011 the Ukrainian Bar Association (UBA) held its V Annual Corporate Law Forum in Kyiv.

The participants of the event discussed the results of application of the newly amended laws and debated over the topics pertaining to joint stock companies and regulator’s rights (in the light of the recent legislative developments introduced in April of this year committing joint stock companies to dematerialize their stock); they also reviewed the specific features attributable to joint stock companies operation and characteristics of corporate law in Russia and Georgia, considered the situation with joint stock companies in Ukraine based on a case study of a large holding company, and shared opinions on limited liability companies and corporate conflicts analysis.

Anna Babych, Counsellor with Vasil Kisil & Partners, represented the firm at the event. In her presentation “Burning Issues Related to Transfer of Shares in LLC: Theory and Practice” Ms. Babych described in detail the requirements recently eliminated from share transfer agreements and LLC charters, described the practical application of rights of LLC participants, and emphasized potential problems, which may arise when admitting new LLC participants through an increase of the LLC’s authorized capital. Anna Babych particularly mentioned the need to establish discretionary rules in respect of certain statutory provisions where required in the interests of the LLC.
