Chadbourne& Parke represented Origin Enterprises plc., the agri-services group,in connection with its US$17.56 million acquisition of 60% of AgroscopeUkraine's seeds and agrichemicals business in Ukraine. The deal was announcedon 30 October 2013.

Thetransaction is subject to a number of conditions, including clearance from theAntimonopoly Committee of Ukraine and the deal is expected to close in thefirst quarter of 2014.   The existing management is remaining withthe resulting joint venture and provides an excellent strategic fit for Originadding complementary expertise and a strong brand reputation. 

OriginEnterprises plc is a focused Agri-Services group providing on-farm advice andthe supply of agriinputs.  The Agri-Services business through itsmanufacturing and distribution operations in Ireland, the United Kingdom andPoland has leading market positions in the supply of specialist agronomyservices, crop nutrition and feed ingredients. The Group is listed on the ESMand AIM markets of the Irish and London Stock Exchanges.  Agroscope is aleading importer and distributor of plant protection products, seeds and plantnutrition products to arable farmers in Ukraine.

This deal is the latest in a number of cross-border corporate deals thatChadbourne’s London and Kyiv offices have worked on together. The Firm recentlyrepresented the AES Corporation in the sale of its power distributionbusinesses in Ukraine as well as the international lenders on the final sale oftheir remaining debt and equity in the Ukrainian bank, Kreditprombank.
