On 30 May 2014 an expert workshop "International Trends and Standards in M&A Transactions" was successfully held in Kyiv at the Arcane Art Gallery. This annual IBA event was held in association withArzinger Law Office and Vasil Kisil and Partners Law Firm. This workshop aroused interest in business circles and was attended by fifty representatives, including managers at law firms and legal departments in big Ukrainian and international companies, lawyers and senior students from law schools. European and Ukrainian M&A experts spoke at this event.

Among others, speakers at the event were: Freek Jonkhart, Co-Chair at the European Forum, Partner at Loyens & Loeff (Netherlands), andRabbe Sittnikow, Senior Vice-Chair of the IBA M&A Law Committee, Partner at Hannes Snellman (Finland). Ukraine was represented by M&A experts Anna Zorya, Partner at Arzinger Law Office, and Anna Babych, Partner at Vasil Kisil and Partners Law Firm.  

The opening speech was held by Timur Bondaryev, Managing Partner at Arzinger Law Office. He welcomed the participants, spoke about the activity of the International Bar Association (IBA) and emphasized the important role of this organization for the international legal community.

First speeches were delivered by Freek Jonkhart and Rabbe Sittnikow.They spoke about M&A transactions in the sphere of private capital, their structure and main documents.   

Then spoke Anna Babych, Partner at Vasil Kisil and Partners Law Firm. Analysing the activity on the M&A market in Ukraine she elucidated on trends and noted that lately the biggest M&A deals were closed in such sectors as media market, telecommunications and banking. Anna pointed out that M&A deals still concentrate on the domestic market, as the specifics of the Ukrainian merger and acquisition market is that Ukraine is mostly a seller and not a buyer of foreign assets. At the end of her speech Mrs. Babych answered some questions and summarized: "Today, considering difficult circumstances in the country, there is the following situation on the Ukrainian M&A market – some deals that were in progress at the end of 2013 are being closed but the major part of potential buyers just wait and see whether the economic situation improves and political processes in the country become stable. Despite this, in 2014 we expect a positive dynamics in banking sector, agriculture and retail. M&A revival in IT sector is also highly probable. However, even under these circumstances the overall dynamics on the Ukrainian M&A market will hardly change this year." 

Anna Zorya, Partner at Arzinger Law Office, spoke about legal due diligence of companies prior to M&A deals. During the second part of the workshop there were two parallel sessions. Participants divided themselves in two equal groups and could attend one of the sessions. First session was dedicated to main provisions in a SPA and other important transaction documents. These and many other issues were elaborated in detail by Anna Babych and Freek Jonkhart. At the same time, Anna Zorya and Rabbe Sittnikow spoke about SHA. This format is very practical as it allows each workshop participant to ask questions and to share own experiences.   

Summarizing results of the workshop Anna Zorya noted: “I consider an event on such level as a very useful and interesting experience. Already during preparations to the workshop we saw that the market is very interested. Successful conduction of the workshop and the feedback that we have already received allow us to assume that we won’t stop here and will conduct M&A events in the future on a regular basis constantly improving the range of topics and the format”.

This event was held at an unconventional venue, at the Arcane Art Gallery being the first gallery of the Objective Art in Ukraine and the only gallery dedicated to a single artist – Galyna Moskvitina, who works in a unique style based on special light perception defined as Laternative Realism. Despite an unusual stylistics for the Сontemporary Аrt during the world tour "Code of Light" (Milano, London, Tel-Aviv, New York) her paintings called Svetangs were positively noted by representatives of foreign galleries and major auctions houses such as MacDougall's and Bonhams. Workshop participants had an opportunity to enjoy new works by Galyna Moskvitina from the series "Sings of light" and "Celestial flow" which were recently exhibited at Hay Hill Gallery (London).

Arcane Art Gallery is a space where objective painting in the format of art session is combined with other art forms resulting in a synergy effect. Nowadays the Arcane Art Gallery has become not only a venue for unique art events but also an excellent communication platform for business elite, which ultimately contributes to the consolidation of representatives of the art and business communities with the aim of promoting Ukrainian art both in Ukraine and abroad.
