Under both the U.S. FCPA and the soon-to-be adopted UK Bribery Act, parent companies may bear criminal and/or civil liability for the corrupt conduct of their subsidiaries, affiliates, distributors, and agents that interact with governmental authorities and state-owned corporations in all countries, including Ukraine. Therefore, foreign companies doing business in Ukraine must take extra measures to minimize their exposure to corrupt practices. Establishment and effective implementation of appropriate anti-corruption procedures and safeguards is no longer an option, but a necessity.
