DLA PIPER SUPPORTED DISCOVERY IN OBTAINING MERGER CLEARANCE FROM AMCU

DLA Piper provided legal support to Discovery Communications LLC, part ofthe Discovery Group - one of the worldwide leading company among documentarymedia groups, which broadcasts in Ukraine through Discovery Channel, inobtaining merger clearance from the Antimonopoly Committee of Ukraine (AMCU)for the acquisition together with Liberty Group (which owns and operates cablenetworking in 12 countries across Europe) of ALL3Media Holding Limited.

Through this concentration, which is a significant M&Atransaction at the European media market, Discovery Communications LLC and Liberty GlobalEurope Limited ensure joint control over All3Media Holdings Limited, thelargest UK's independent television company.

DLA Piper's team for this project was led by Margarita Karpenko, Managing Partner, and included Galyna Zagorodniuk,Legal Director, and Dmytro Tkachenko,Associate.

The concentration takes place outside of Ukraine though thiscase perfectly demonstrates the extraterritorial nature of Ukrainiancompetition law that requires any legal entity being present in Ukraine toobtain merger clearance from the Ukrainian Antimonopoly Committee for itstransactions taking place anywhere in the world. Except Discovery, otherparticipants of the transaction do not operate in Ukraine.
