Salans advised the founders of Prime Group, one of Ukraine’s leading outdoor advertising operators, on a transaction with Europe Virgin Fund L.P. (‘EVF’), a private equity fund sponsored by Dragon Capital, which resulted in the attraction of new capital into the business.

Prime Group started in 2008 and today is a leading outdoor advertising operator in the capital city of Ukraine, now managing more than 2,500 media displays. EVF increased the equity of the Prime Group, providing it with significant capital to finance its expansion. Prime Group will continue to be managed by its founders Vadim Frunze and Kateryna Khramova.

Salans’ team in this transaction was led by Kyiv partner Igor Davidenko with support from London partners Zarko Iankov and Peter Hughes, with key input from associates Yaroslav Malomuzh (Kyiv), Roman Mehedynyuk (Kyiv), Mykola Semenyuk (Kyiv), and Matthew Jenkins (London). They provided full legal support to the client in this transaction including legal advice on its structuring, revision of Subscription Agreement under English law, revision of Shareholders Agreement under English law, preparation of Disclosure Letter and coordination of the project implementation with lawyers in BVI and Cyprus, as well as providing legal support in negotiations.
