VKP on Cross-border Acquisitions in Ukrainian Banking Sector: Legislative Novelties & Trends

On Nov 15-17, 2011 the 6th Annual Ukrainian Banking Forum organized by the Adam Smith Institute (Great Britain) took place in Kyiv.
This major event of the Ukrainian banking sector has already proved to be a successful annual gathering for public officials, regulators and heads of the largest banks, investment companies, as well as professional services firms.

Forum`s attendees had a chance to hear about the latest trends and developments in Ukrainian banking sector directly from the industry’s leading professionals. More than 60 top executives from Ukraine’s most well-known banks and professional services companies together with their peers from abroad, investors, highly respected advisors and analysts, as well as representatives of the government bodies that regulate the banking sector in Ukraine took floor at the Forum.
In her speech delivered at the Forum`s “Bank Consolidation and M&A” section, Ms Kyrpa highlighted legislative novelties and key trends of cross-border acquisitions in Ukrainian banking sector.
On Sep 8, 2011 new NBU regulations were adopted which changed the process of obtaining the NBU approval for cross-border acquisitions in Ukrainian banking sector significantly. As Yulia noted, the procedure of obtaining the NBU approval is still untested and depends on the NBU interpretation. Consequently, proper planning and structuring of cross-border acquisitions of Ukrainian banks becomes even more important nowadays.
Ms Kyrpa also shared the considerations of obtaining NBU acquisition approval in cross-border deals and put a special emphasis on the structuring of cross-border acquisitions in Ukrainian banking sector supporting her speech with VKP`s representative experience in this area.
During the “Bank Consolidation and M&A in Ukraine: Trends, Progress & Outlook” session moderated by Yulia, the audience also paid a lot of interest to the issue of banking consolidation as a driver for a stronger banking system in Ukraine, discussed the perception of Ukraine from the outside and listened to the consulting practice in outsourcing HR managing issues for the mergers.
